Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Backup.fm websites, waitlist, software, and related services (collectively, the “Service”) operated by LABYRINTH SOFTWARE LLC (“Company”, “we”, “us”). By accessing or using the Service, joining the waitlist, or purchasing a license, you agree to these Terms.

1. The Service

Backup.fm is desktop software and related materials intended to help users archive their own music distribution assets (such as audio files and metadata) to a local drive. Features, pricing, and availability may change. Early access and waitlist participation do not guarantee a purchase, invite timing, or any specific feature set.

2. Eligibility

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.

3. Accounts, waitlist, and communications

If you join the waitlist, you agree we may email you about Backup.fm (including launch and product updates). You can unsubscribe as described in our Privacy Policy.

4. License (when software is sold)

When you purchase Backup.fm, you receive a personal, non-exclusive, non-transferable license to install and use the software on up to three (3) devices that you own or control, unless a different license is stated at checkout.

• Current early-access marketing price is $59 USD (normally $99 USD), one-time, for lifetime access to the licensed version purchased, subject to these Terms. Prices may change before or after launch.
• You may not share, sell, rent, sublicense, or publicly distribute your license key. Sharing a key or exceeding device limits may result in immediate revocation without refund.
• “Lifetime” means you may keep using the version(s) you are licensed for under these Terms. It does not guarantee perpetual free updates, support, or compatibility with third-party platforms forever.

5. Third-party platforms (important)

Backup.fm may interact with third-party music distributors or websites (including DistroKid, CD Baby, TuneCore, Ditto, and others). Those platforms are not affiliated with us. Their terms of service, acceptable use rules, and technical systems are outside our control.

• Your responsibility. You are solely responsible for ensuring your use of Backup.fm complies with the terms, policies, and laws applicable to any third-party platform you connect or access.
• Risk of enforcement. Third parties may restrict, suspend, or terminate your accounts, or change their systems in ways that break or limit Backup.fm. We are not liable for those outcomes.
• No endorsement. Mentions of third-party names or logos are for identification only and do not imply partnership or approval.

6. Acceptable use

You agree not to:

• Use the Service for unlawful purposes.
• Reverse engineer, crack, or circumvent license enforcement except where prohibited restrictions are not allowed by law.
• Attempt to disrupt or overload our systems or those of third parties beyond normal personal use of the product.
• Misrepresent affiliation with LABYRINTH SOFTWARE LLC or Backup.fm.

7. Intellectual property

The Service, including software, branding, and site content, is owned by LABYRINTH SOFTWARE LLC or its licensors. These Terms do not transfer ownership of any intellectual property to you, other than the limited license above.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH ANY THIRD-PARTY PLATFORM AT ALL TIMES.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LABYRINTH SOFTWARE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING (WITHOUT LIMITATION) ACCOUNT ACTIONS BY THIRD-PARTY DISTRIBUTORS, SCRAPER OR INTEGRATION FAILURES, DATA LOSS, OR SOFTWARE BREAKAGE AFTER THIRD-PARTY SITE CHANGES.

OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR BACKUP.FM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR $59 IF YOU HAVE NOT PAID).

10. Indemnification

You agree to indemnify and hold harmless LABYRINTH SOFTWARE LLC from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party terms or rights.

11. Termination

We may suspend or terminate access to the Service (including license keys) if you violate these Terms or misuse the Service. Provisions that by nature should survive (including license restrictions, disclaimers, limitations of liability, and indemnity) will survive termination.

12. Governing law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Courts located in Washington will have exclusive jurisdiction, except where applicable law requires otherwise.

13. Changes

We may update these Terms. The “Last updated” date will change when we do. Continued use after changes constitutes acceptance of the updated Terms.
